THE ROLEThe role will support the Commercial Company Secretary in delivering world-class standards of corporate governance and best practice for the BBC Commercial Group. BBC Commercial Limited is the governance, assurance and oversight body for BBC Studios (‘BBCS’) and BBC Studioworks and their subsidiaries, which together form the BBC Commercial Group. The Senior Advisor ensures compliance with relevant UK and international legal and regulatory requirements and supports the development and enhancement of the corporate governance framework for the BBC Commercial group.Day to day

  • Provide sound company secretarial advice on a range of subjects including drafting, reviewing and executing company documents, forms, applications, resolutions and ancillary documents, in accordance with local formalities.
  • May need to support, attend and minute meeting of the Studios Executive Committee (‘SEC’), Commercial Board, and / or other companies or committees within the Commercial Group.
  • Lead the process for incorporation and strike off for companies within the Group.
  • Manage the relationship with the Finance and Treasury Operations for corporate approvals needed to manage bank accounts for Group companies.
  • Oversee the annual statutory accounts project.
  • Oversee the global statutory compliance framework.

Work closely with team to:

  • Ensure all statutory obligations are met in a timely manner.
  • Facilitate corporate approvals with due process.
  • Ensure accuracy of company records, mostly held in Diligent Entities.
  • Manage and maintain corporate registers for powers of attorney, parent company guarantees, authorised signatories, authorised representatives, charges etc.
  • Review the final equity deal documentation.
  • Ensure the smooth flow of information to the BBCS oversight boards.
  • Providing support with internal projects and transactions.
  • Deputise for the Company Secretary as required.

  • A Chartered Secretary, a Graduate or Associate of the Chartered Governance Institute, with a minimum of 2 years’ PQE.
  • Good knowledge of statutory obligations required by the UK Companies Act.
  • Understanding of the statutory accounts process.
  • Experience of project management and good project management skills.
  • Attention to detail, with strong analytical and communication skills.
  • Familiar with using Board portals (e.g. Diligent Boards) and Compliance software (e.g. Diligent Entities).

Desirable

  • Ability to influence, advise and build relationships with stakeholders at all levels.
  • A high level of integrity, discretion and confidentiality, with the ability to handle sensitive and confidential information appropriately.
