Working within the Ogier Global Ireland Corporate team, you will be responsible for maintaining and strengthening day-to-day client relationships, ensuring entity compliance, as well as organising and attending client board meetings.

Key Responsibilities

  • Manage a portfolio of Irish companies and funds through the accurate preparation and issue of agendas, board papers and minutes
  • Build and manage relationships with clients and other stakeholders of our Fund portfolio
  • Follow up on any issues raised at Board Meetings, coupled with regular interaction with clients to give updates
  • Reviewing and drafting documents and department procedures, as well as undertaking regulatory filings
  • Acting as a channel of communication for non-executive directors, clients and other stakeholders
  • Ensuring compliance with the Articles of Association/Constitution
  • Reviewing developments in Corporate Governance and Company Law in order to advise and assist the directors
  • Preparing any required ICAV registration forms, and attending to filing executed forms
  • Liaising with the regulator and Euronext Dublin in respect of changes in the composition of the boards of directors
  • Acting as role model/mentor to the junior members of the Company Secretarial Team.

Skills, Knowledge and Expertise

  • 3-5+ years’ experience working in a Company Secretarial role
  • Strong academic background, Bachelor’s degree or equivalent preferred. Working towards or holding a professional qualification such as ICSA
  • Excellent written and verbal communication skills
  • Strong working knowledge of ViewPoint and Diligent would be an advantage
  • Working knowledge of the MS Office package (Outlook, Word, Excel, Power Point)
  • Good understanding of the applicable statutory laws and other related legal and regulatory requirements, including anti-money laundering regulations
  • Responsive and client focused with strong organisational skills and attention to detail. Ability to deal with tasks independently and use own initiative
  • Ability to provide training/mentoring to junior members of the team
