Job Title: Governance & Regulations Manager

Reports to: Company Secretary

Salary: Scale PO1, Points 33-36, £31,010 – £33,418 per annum, pro rata

Hours of work: Full Time (37.5 hours per week)

Key Responsibilities:

GOVERNANCE

Overarching

  • To identify and report to the Board on best practice in governance, including liaison with the Regulator of Social Housing, Charity Commission and Companies House, or their successor bodies and any other regulators as required.
  • To develop and maintain a Governance Excellence Plan and to support and advise the Executive Directors and Board on all areas of governance improvement.
  • To provide/arrange briefings to the Executive Directors, Senior Leadership Team and Board members on key issues.
  • To ensure that the organisation works in accordance with a comprehensive governance framework which conforms with the National Housing Federation’s Code of Governance.
  • To ensure compliance with the Articles, and to make recommendations for changes to the Articles where appropriate.
  • To work with the Policy Review Manager and the Company Secretary to ensure that the organisation’s policy framework is regularly reviewed to ensure it is kept up to date, relevant, practical, coherent, understood by staff and others, and that arrangements are in place to monitor and ensure compliance.
  • To line manage the Governance and Regulations Administrator.

Board Director Support (including committee co-opted members)

  • To organise Board recruitment and selection processes and subsequent induction, including:
  • DBS and other checks (working alongside the HR department)
  • Declarations of interest and other declarations as required by regulators, commissioners or insurers, or other bodies
  • Notification to regulators of appointment, changes to circumstances and resignation.
  • To support the Chair by coordinating annual Board appraisals and skills assessments.
  • To provide advice and support to Directors to enable them to fulfil their roles and responsibilities, arranging training where required.
  • To provide periodic briefings to Directors on items of interest.
  • To co-ordinate the active governance programme
  • To attend and take minutes for the Youth Advisory Board (YAB) monthly meetings and provide any other support to the YAB as required.

Administrative

  • To prepare an annual schedule of Board and committee meetings to ensure the organisation’s business can be conducted in a timely manner and arrange the Board’s annual strategic planning day and other special Board events as required.
  • To oversee the agreement of Board and committee agendas with the relevant lead member of staff and Chairs of the committees. To co-ordinate the preparation of Board and committee papers in accordance with agreed timescales and ensure that they are distributed to members within the designated timescale.
  • To complete minutes of all Board and committee meetings in a timely fashion and agree the content of the minutes with senior staff and appropriate Chair.
  • To provide administrative support to Board members and carry out research on behalf of the Senior Leadership Team and Board members in order to assist them to effectively carry out their role.
  • To maintain the Governance Portal and ensure that the organisation’s website is up to date in respect of Governance and Regulatory content.
  • To administer company membership and the Annual General Meeting, and any other meetings as required by the Articles.
  • To work with St Basils’ insurers to ensure all necessary documentation is provided for insurance claims and the status of claims is followed up on a regular basis, and to support the Company Secretary with the insurance renewal process.
  • To support the Company Secretary in coordinating St Basils’ internal audit programme, including monitoring outstanding recommendations and supporting management with implementing recommendations.

REGULATION

  • To be responsible for all issues relating to data protection and related legislation and carry out the necessary duties as the designated Data Protection Officer for St Basils.
  • To ensure that the prevailing Regulatory Framework for the Housing Sector is researched and action plans are in place, and monitored and reviewed regularly, to ensure compliance.
  • To support the Director of Housing and the Health, Safety & Facilities Manager to ensure that all statutory and regulatory requirements with regard to Health & Safety are identified and action plans are in place, monitored and reviewed regularly, to ensure compliance.
  • To prepare all Regulator of Social Housing, Charity Commission, Companies House and any successor bodies’ returns, and submit to the body within prescribed timescales.
  • To support the Company Secretary in ensuring that the Asset & Liabilities Register is complete and up to date. This will include ensuring there is a register (or registers) of
  • all title deeds for the organisation’s property portfolio
  • all leases/management agreements which cover the relationship between St Basils and other organisations who have provided property to accommodate St Basils’ tenants
  • all charges held on the organisation’s assets
  • the vehicle fleet
  • all major procurement contracts
  • all major income contracts
  • all data sharing agreements
  • all other elements of the Assets & Liabilities Register.

QUALIFICATIONS

Desirable:

Accredited qualifications in Administration (Institute of Chartered Secretaries), Master of Business Administration.

ROLE EXPERIENCE

Essential:

Experience of working in Governance and Regulation

Desirable:

Experience working in the social housing sector

KNOWLEDGE

Essential:

Understanding of best practice on governance and Governance Codes for the Regulator of Social Housing, Charity Commission and Companies House.

Desirable:

An understanding of the statutory and regulatory requirements with regard to Health & Safety, Data Protection and Insurances.
