  • We are looking for a bright paralegal who will support the lawyers in running their transactions and other client assignments.
  • You have an excellent command of English, both oral and written. French or Dutch is your mother tongue, or you have an equivalent command of the language. The mastering of one of the other national language is a real plus.
  • You have 2 to 3 years’ work experience as a paralegal in an international business environment. Top graduate candidates will also be considered.
  • You have a professional bachelor’s degree in law (bachelier professionel en droit/ bachelor rechtspraktijk) or an academic bachelor degree in law.
  • You have a strong analytical sense, a good eye for detail, are organised, commercially aware and solution oriented.
  • You are a team player with a positive mindset and have the ability to operate throughout complexity and ambiguity staying focused on best outcomes.
  • You work autonomously and are willing to take initiatives.
  • You have the ability to work in a fast-paced and deadline-heavy environment.
  • You have experience or an interest in using legal tech solutions creating efficiencies in transaction management, due diligence, automation, etc.
  • You have excellent communication skills and the ability to challenge and connect with different stakeholders within and outside the firm.
  • You have an excellent command of Microsoft Office tools.

Areas of responsibilities for a Paralegal in our Corporate & Finance practiceAssists lawyers during the entire transaction process by:

  • Legal project management, transaction management
  • Creating and managing steps plans
  • Registering of documents
  • Liaising with counterparties
  • Coordinating the conditions precedent (documents to be delivered by other parties in the transaction, which are a condition to closing the transaction)
  • process between different jurisdictions and clients
  • Managing physical and online signings and closings
  • Managing virtual data rooms and legal tech solutions
  • Producing closing bibles
  • Supporting due diligence exercises (coordination and high-level document review), research, legal definition reviews, translations, cross-border transaction management, etc.
  • Legal research

Contributes to knowhow/legal tech and coordinates knowhow projects and publications by:

  • Monitoring of new Belgian legislation with the relevant Knowledge Lawyers
  • Ensuring that new legal knowledge and know-how is shared within the practices
  • Operating as a legal tech ambassador
  • Updating various legal tech tools such as extranet and iSheets to ensure efficient use during client matters
  • Following the necessary trainings to remain up to date with the newest developments and tools.

Manages the corporate housekeeping by:

  • Preparing the annual shareholders’ meeting procedure as well as transactional bondholders’ and shareholders’ meetings
  • Publishing convening notices, powers of attorney etc.
  • Preparing annual audit letters
  • Filing of annual accounts with the National Bank of Belgium
  • Filing of publications in Belgian State Gazette, etc.

Supports and coordinates cross-practice projects

  • Depending on the needs of the business you will also be involved in supporting practices other than corporate & finance.
